SpaceBridge Inc, is currently looking for a Contract Administrator/Specialist to support the Legal Department in its Corporate, Secretarial and Commercial functions. The chosen candidate will also be responsible for both pre-contractual and post-contractual phases of commercial contracts (i.e. preparation, drafting, and administration) in close collaboration with the marketing and sales department.
RESPONSIBILITIES:
- Act as the point of contact and provide support to the sales teams for existing and new contracts.
- Provide legal support by drafting and reviewing legal corporate and commercial documentation, including financing and securities documents.
- Monitor the contract lifecycle to ensure that all contracts are up to date with the latest terms and conditions.
- Interpret, clarify, and ensure compliance with general contract terms.
- Ensure that transportation obligations, costs, and risks are determined and supportable.
- Provide support to General Counsel concerning reporting requirements used in agreements to ensure they are supportable and accurate.
- Lead, support, and coordinate corrective action with other functional teams to deliver solutions according to the needs and objectives of the customer.
- Ensure commercial terms and conditions are met to mitigate business risks and maximize financial objectives and provide policy recommendations to General Counsel.
- Lead large proposal activities for the Sales department.
- Review and negotiate significant contract requirements, special provisions, terms, and conditions.
- Prepare, draft, and negotiate various commercial agreements, General Terms Agreements, RFPs, contract Amendments, Service agreements, NDA’s and other letters of intent, as well as partnering arrangements.
- Conduct pre-award and post-award contract functions.
- Ensure that all contract documents are entered accurately and timely into the company contract database (including archives).
- Maintain hard copy files and provide exception reports to highlight risk and non-standard clauses.
- Manage documents and information relating to the company’s Patent and Trademark portfolio, as well as coordinate patent files docketing & provide reminders to all concerned.
- Open, build, & update IP databases to generate reports and analysis.
- Prepare documents for filing with patent agents in Canada, USA, Europe, and PCT.
- Prepare IP reports for the dissemination of IP portfolio.
- Report and provide general litigation support.
- Draft resolutions of the board and assist in the maintenance of the minutes’ book.
- Participate in contract negotiations.
- Prepare and review letters of credit (L/C), including the review of L/C Draft before acceptance.
SKILLS & QUALIFICATIONS
- Bachelor’s degree in a pertinent field (law degree strong asset);
- Minimum of 5 to 7 years of experience in international business;
- Experience in the Satellite/Telecommunications business would be a definite strong asset;
- Experience in RFI/RFP would be a definite strong asset;
- Bilingual: French and English;
- Spanish, Portuguese, and/or Russian would be an asset.
