Senior Contract Specialist

SpaceBridge Inc, is currently looking for a Senior Contract Specialist to support the Corporate, Secretarial and Commercial requirements of the corporation.

The chosen candidate will also be responsible for both pre-contractual and post-contractual phases of commercial contracts in close collaboration with the marketing/sales, and finance department.

Responsibilities:

· Act as the point of contact and provide support to the sales teams for existing and new contracts.

· Draft and review corporate and commercial documentation, including proposals financing and securities documents.

· Monitor contract lifecycle to ensure that contracts are up to date with the latest terms and conditions.

· Ensure compliance of general contract terms and conditions

· support and coordinate corrective action plans with other functional teams

· Validate commercial terms and conditions are met to mitigate business risks and maximize financial objectives and provide policy recommendations to the executive committee.

· Review and negotiate significant contract requirements, special provisions, terms and conditions.

· Prepare, draft, and negotiate various commercial agreements, General Terms Agreements, RFPs, contract Amendments, Service agreements, NDA’s and other letters of intent, as well as partnering arrangements.

· Prepare contract notifications highlighting risk and non-standard clauses.

· Manage IP, Patent and Trademark portfolio

· Report and provide general litigation support

· Draft resolutions of the Board of Directors and maintain of the minutes’ book

· Prepare and review letters of credit (L/C), including the review of L/C

Skills & Qualifications

· Bachelor’s degree in a pertinent field

· Minimum of 5 to 7 years of experience in international business;

· Strong Experience in drafting and negotiating contracts

· Excellent knowledge and interest in following areas: contract law, commercial law, corporate law, and intellectual property

· Outstanding organizational, communication, and negotiable skills

· Ability to work with minimal supervision

· Good team player and positive attitude

· Excellent writing, editing, analysis, and synthesis skills;

· Ability to work under pressure and changing priority

· Understanding customer motivations

· Strong Business acumen

· Experience in RFI/RFP

· Bilingual: French and English

· Experience in the Satellite/Telecommunications is considered a strong asset

· Spanish, Portuguese, Arabic is considered an asset
